(which must be at least US$160,000.00 or $250,000.00 for Processing Zone) and other details. |

Certification of the Secretary or Treasurer of the
Company, which vouches that the shares are issued to the Applicant and that
the shares are fully paid and issued (the shares must have a value of at least
US$160,000.00 or $250,000.00 for the Processing Zone), duly authenticated by the Public Notary. |

Copy of the pages of the Shareholder Register and a
copy of the share certificate, both duly authenticated by the Public
Notary. |

Certification by the company's CPA, stating that the
shares are issued to the applicant and that they are fully paid and issued
(the shares must have a value of at least US$160,000.00 or $250,000.00 for the
Processing Zone), duly authenticated
by the Public Notary. Copy of the CPA's cédula and license to practice,
duly authenticated by the Public Notary. |

Sworn Declaration by the applicant before a Public
Notary certifying the capital invested, the shares issued and that the
shares are fully paid and issues (for at least US$160,000.00 and $250,000.00
for the Processing Zone), also
including the business that the company undertakes. |

Sworn Declaration of the Tax Return of the company, with
the original payment receipts (if copies are presented, these must be duly
authenticated by the Ministry of Economy and Finance), including the box
completed of capital invested of at least $160,000.00 or $250,000.00 for the
Processing Zone. If the tax year
has not been completed since the incorporation of the company, the applicant
should include a copy of the registration at the Tax Department and a copy
of the payment of the corporation annual government fees. |

If the applicant purchased the company shares from
another person, a copy of the Tax receipt of the payment of the 5% Capital
Gains Tax on the purchase of the shares and a copy of the Stock Purchase
Agreement, duly authenticated by the Public Notary. |

Photocopy of the company's Payroll, as presented to the
Social Security Board, which must have at least five (5) Panamanian Employees
(this cannot be more than three months earlier than the date of
presentation). |
 |
Certificate of Good Standing for the company, issued by
the Social Security Board (which basically states that the Company is up to
date in the payment of its Social Security contributions). |
 |
Proof of the investment, which may be shown by three (3) any of the
following documents:
 |
(Obligatory) Bank certification of the transfer of
the money from the foreign country, duly authenticated by the bank;

Copy of the deposit slip where the money was
invested by the applicant into the company, duly authenticated by the
bank; |
 |
Letter issued by a Bank certifying the funds
invested by you, in the company, comes from another country; |
 |
If you bought the shares from another person, the
copy of the receipt, certifying that the capital gains tax has been paid
and a copy of the Stock Purchase Agreement; |
 |
Contract for the Sale & Purchase of
real estate or chattels, duly registered with the corresponding entity (Public
Registry or the Municipality); |
 |
Audited financial statements; |
 |
Commercial Invoices, which must be accompanied by a
detailed inventory, prepared by the company's CPA; |
 |
Proof of payment of Customs Duties on imported
goods; |
 |
Any other document which may show the capital invested in
the company. |

Proof of existence and location of the business, which
may be evidenced with at least three (3) of the following documents:

Rental Agreements for Commercial property, in the
name of the company; |
 |
Last receipt for electricity, telephone or water
services; |
 |
Contract for security services; |
 |
Proof of payment of ITBM (Sale of Goods tax) at the
Ministry of Economy and Finance |
 |
Receipt of payment of municipal taxes; |

Copy of the business license / operation notice by the
Ministry of Commerce or PanamaEmprende.com |
